Terms of Service
The agreement between you and Drop2Launch. Please read it before you create an account.
1. Agreement to these terms
These terms are a binding agreement between you and [Company legal name] (“Drop2Launch”, “we”, “us”). By creating an account or using the Service, you agree to them. If you use the Service for a company, you confirm that you are authorised to accept these terms on its behalf, and “you” includes that company.
If you do not agree, do not use the Service.
2. Definitions
- Service: the Drop2Launch website, application, and related tools.
- Account: your registered access to the Service.
- Connected Platforms: third-party services you link to your Account, such as Shopify and Meta.
- Your Content: the product information, store data, images, and other material you submit or import.
- Output: scores, verdicts, supplier comparisons, page copy, ad scripts, videos, and recommendations the Service generates for you.
- Plan: the Free, Launch, or Scale subscription that applies to your Account.
3. Eligibility and accounts
You must be at least 18 years old and able to enter into a contract. You agree to give accurate information when you register and to keep it up to date.
You are responsible for keeping your login details confidential and for everything done under your Account. Tell us immediately if you suspect unauthorised use. Accounts are for one person or business; you may not share, transfer, or resell access.
4. The Service
Drop2Launch helps you evaluate products, compare suppliers, and build Shopify product pages, create ads, publish them, and monitor their results.
The Service is in early access. We may add, change, or remove features, and we will give reasonable notice of any change that materially reduces what your Plan includes. We aim to keep the Service available but do not promise uninterrupted or error-free operation.
5. Connected Platforms
When you connect a platform, you authorise us to access it and to act on your instructions there, for example publishing a product page to your store or an ad to your ad account. You can revoke that access at any time.
Your use of each Connected Platform is governed by that platform's own terms and policies, and you are responsible for complying with them. We are not responsible for the availability, decisions, or actions of any Connected Platform, including the rejection of an ad or the suspension of a store or ad account.
6. Scores and recommendations
Output is based on demand, competition, cost, and performance data that changes over time and may be incomplete. It is provided to inform your decisions.
We do not guarantee that any product will sell, that any ad will be profitable, or that you will earn any amount. A “Go” is not a promise of success and a “No-Go” is not a statement that a product cannot succeed. Output is not financial, legal, or tax advice. You make the final decision and you bear the risk of your business activity, including money you spend on products and advertising.
7. AI-generated Output
Page copy, ad scripts, images, and videos are generated by AI and may contain errors. Treat them as drafts. Before you publish any Output, you are responsible for checking that it is accurate, that claims about a product are true and can be substantiated, and that it complies with the law and with the advertising policies of the platform where it will appear, including any requirement to disclose that content is AI-generated.
We do not warrant that Output is unique or that it does not resemble material created for other users.
8. Your Content and your store
You keep ownership of Your Content. You grant us a worldwide, non-exclusive licence to host, process, and display it for the purpose of providing and improving the Service.
You are solely responsible for your store and what you sell, including the legality and safety of your products, your listings and advertising, your dealings with customers and suppliers, consumer-protection obligations, refunds, and taxes.
9. Acceptable use
You agree not to:
- sell or promote illegal, counterfeit, unsafe, or infringing products;
- make false or misleading claims in pages or ads created with the Service;
- upload material you do not have the right to use;
- copy, resell, sublicense, or reverse engineer the Service;
- access the Service by scraping or other automated means without our written consent;
- interfere with the security or operation of the Service, or attempt to access another user's Account;
- use the Service to build a competing product.
10. Plans, fees, and payment
- Free: $0, 3 product checks per month.
- Launch: $39 per month, or $31 per month billed annually.
- Scale: $79 per month, or $63 per month billed annually.
Prices are in US dollars and exclude taxes, which we add where required. Paid Plans are billed in advance and renew automatically for the same period until you cancel. You authorise us and our payment processor to charge your payment method for each renewal.
We may change prices with at least 30 days' notice, effective from your next renewal. Founding members keep the price they joined at for as long as their subscription remains active without interruption. If a payment fails, we may retry it and, if it remains unpaid, move your Account to the Free Plan.
Advertising spend is charged by the ad platform to your own ad account, and product orders are charged by the supplier. Those charges are separate from our fees.
11. Cancellation and refunds
You can cancel at any time from your dashboard. Your Plan remains active until the end of the period you have paid for and then does not renew. Refunds are described in our Refund Policy.
12. Intellectual property
We and our licensors own the Service, including its software, design, scoring methods, and trademarks. These terms give you a limited, non-exclusive, non-transferable right to use the Service for your own business while your Account is active.
Subject to your payment of any fees due, you may use the Output generated for you in your own business. If you send us feedback, you allow us to use it without restriction or payment.
13. Copyright complaints
If you believe material on the Service infringes your copyright, send a notice to support@drop2launch.com that includes: your contact details; a description of the copyrighted work; the location of the material you say infringes it; a statement that you believe in good faith the use is not authorised; a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorised to act for the owner; and your signature. We may remove the material and, where appropriate, close the accounts of repeat infringers.
14. Suppliers and third-party services
Supplier listings, prices, delivery times, and ratings come from third parties and may change or be inaccurate. We are not a party to any transaction between you and a supplier, a customer, or a platform, and we are not responsible for product quality, delivery, or disputes arising from those transactions.
15. Privacy
Our Privacy Policy explains how we handle personal information. Where we process your customers' personal information on your behalf, we do so only on your instructions and to provide the Service.
16. Suspension and termination
You may close your Account at any time. We may suspend or terminate your access if you breach these terms, if your use creates risk for us or other users, or if we are required to by law. Where reasonable, we will give you notice and a chance to fix the problem first.
When an Account is closed, your right to use the Service ends. Sections that by their nature should survive, including those on intellectual property, disclaimers, liability, and indemnification, continue to apply.
17. Disclaimers
The Service and all Output are provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
18. Limitation of liability
To the fullest extent the law allows, Drop2Launch will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost advertising spend, or loss of data or goodwill, arising from your use of the Service.
Our total liability for all claims relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
19. Indemnification
You agree to defend and indemnify Drop2Launch and its officers, employees, and partners against claims, damages, and costs, including reasonable legal fees, arising from Your Content, your store and the products you sell, your advertising, your breach of these terms, or your violation of any law or third-party right.
20. Governing law and disputes
These terms are governed by the laws of [State or country], without regard to its conflict-of-law rules.
If a dispute arises, please contact us first. Both sides agree to try to resolve it informally for at least 30 days before starting formal proceedings. Any dispute that is not resolved will be brought in the courts of [State or country], unless the law where you live gives you the right to bring it elsewhere.
21. Changes to these terms
We may update these terms. We will post the new version here with a new date and, for material changes, notify you by email or in the product at least 14 days before they take effect. If you keep using the Service after that date, you accept the new terms.
22. General
These terms, together with the policies they refer to, are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them as part of a merger or sale. Neither side is liable for delay or failure caused by events beyond its reasonable control.
